SIMX is not a means of payment and is not used for partner settlement. SIMX confers participation in a portfolio of club memberships held in trust and a variable share of their net usage income and net disposal proceeds; it confers no right to use any membership. The Membership Pass confers, once membership is approved, the right to use the held memberships at the published programme level; it confers no distribution of any kind. Neither token provides equity, debt, a corporate voting right, direct ownership of any property, facility or membership, a principal or return guarantee, mandatory repurchase, or exchange-listing assurance.
